Agreement to Terms: By accessing or using the services provided by Alongside Health, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service and our Privacy Policy.
Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Alongside Health, LLC regarding your use of our direct primary care services, website, and related services (collectively, the "Services").
By enrolling in our services, creating an account, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
Description of Services
Direct Primary Care Model
Alongside Health provides direct primary care services, which is a healthcare delivery model where patients pay a monthly membership fee for primary care services without traditional insurance billing. Our services include:
- Unlimited office visits during business hours
- Comprehensive annual physical examinations
- Preventive care and health screenings
- Chronic disease management
- Minor procedures and wound care
- Basic laboratory tests and diagnostic services
- Prescription management and coordination
- Telehealth consultations
- 24/7 access to your physician via secure messaging
- Health coaching and lifestyle counseling
Services NOT Included
Our direct primary care model does not include:
- Emergency room visits or urgent care facility visits
- Specialist consultations (though we provide referrals)
- Advanced imaging (MRI, CT scans, etc.)
- Inpatient hospital care
- Surgical procedures beyond minor office procedures
- Workers' compensation or motor vehicle accident care
- Substance abuse treatment programs
- Experimental or investigational treatments
Membership and Payment Terms
Membership Fees
Our services are provided on a membership basis with monthly fees. Current pricing is available on our website or upon request. Membership fees are:
- Due monthly in advance
- Non-refundable except as specifically provided in these Terms
- Subject to change with 30 days' written notice
- Automatically charged to your payment method on file
Payment Methods
We accept major credit cards, debit cards, and ACH bank transfers. You authorize us to charge your payment method for all applicable fees. You are responsible for maintaining current payment information.
Late Payments and Suspension
If payment is not received within 10 days of the due date, your access to services may be suspended. Services will be restored upon receipt of all outstanding payments plus any applicable late fees.
Patient Responsibilities
As a member of Alongside Health, you agree to:
- Provide Accurate Information: Give complete and truthful medical history and current health status
- Follow Treatment Plans: Adhere to prescribed treatments and follow-up care instructions
- Appointment Courtesy: Arrive on time for appointments or provide at least 24 hours notice for cancellations
- Emergency Situations: Understand that for medical emergencies, you should call 911 or go to the nearest emergency room
- Insurance Coordination: Maintain appropriate insurance coverage for services not included in our direct primary care model
- Respectful Behavior: Treat all staff and providers with respect and courtesy
- Secure Communications: Use only approved channels for sharing sensitive health information
Physician-Patient Relationship
Establishment of Relationship
A physician-patient relationship is established when you enroll as a member and have your initial consultation with one of our physicians. This relationship is governed by applicable medical ethics, state licensing requirements, and these Terms.
Scope of Practice
Our physicians practice within the scope of family medicine and primary care. We will refer you to appropriate specialists when care beyond our scope is needed.
Medical Records
We maintain comprehensive medical records in accordance with applicable laws and medical standards. You have the right to access your medical records as provided by law.
Telehealth Services
We offer telehealth consultations as part of our services, subject to the following conditions:
- Technology Requirements: You must have appropriate technology and internet connection for video consultations
- Limitations: Certain conditions require in-person evaluation and cannot be adequately assessed via telehealth
- Privacy: You are responsible for ensuring a private environment for telehealth consultations
- Recording: Consultations may be recorded for quality assurance and medical record purposes with your consent
- Technical Issues: We are not responsible for technical failures that interrupt telehealth services
Termination of Services
Termination by Patient
You may terminate your membership at any time with 30 days' written notice. You remain responsible for any outstanding fees through the end of your notice period.
Termination by Alongside Health
We may terminate your membership for the following reasons:
- Non-payment of fees after 30 days past due
- Abusive or threatening behavior toward staff or providers
- Failure to follow prescribed treatment plans that endanger your health
- Misuse of controlled substances or drug-seeking behavior
- Fraudulent or illegal activity
- Violation of these Terms of Service
In case of termination by us, we will provide 30 days' notice when possible and will assist with transferring your care to another provider.
Limitations of Liability
Important Legal Notice: Please read this section carefully as it limits our liability to you.
To the fullest extent permitted by law:
- Our total liability for any claims arising from or related to our services shall not exceed the amount you paid for membership fees in the 12 months preceding the claim
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not responsible for treatment provided by other healthcare providers, even if referred by us
- We are not liable for damages resulting from your failure to follow treatment recommendations
- Technology failures, including telehealth platform issues, do not constitute a breach of our service obligations
Privacy and Confidentiality
We are committed to protecting your privacy and maintaining the confidentiality of your health information in accordance with HIPAA and applicable state laws. Our complete privacy practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
Intellectual Property
All content on our website, including text, graphics, logos, images, and software, is the property of Alongside Health, LLC or our licensors and is protected by copyright and other intellectual property laws. You may not use our intellectual property without our written permission.
Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Pennsylvania without regard to conflict of law principles.
Dispute Resolution Process
Before pursuing legal action, we encourage you to contact us directly to resolve any disputes. If informal resolution is unsuccessful, any disputes will be resolved through binding arbitration in Philadelphia, Pennsylvania, except for claims that may be brought in small claims court.
Changes to Terms
We may modify these Terms from time to time. We will provide notice of material changes by:
- Posting updated Terms on our website
- Sending email notification to members
- Providing 30 days' notice before changes take effect
Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.
